  • Michael Jackson Settles Breach of Contract Claim

    Reuters News

NEW YORK (Reuters) - Debt-laden pop singer Michael Jackson reached a settlement on Monday over a breach of contract claim by New Jersey-based finance house Prescient Capital.

Prescient sued Jackson and his MJ Publishing Trust in July 2005 for $48 million alleging breach of contract after providing financial advice to Jackson and his various companies.

Prescient said it helped Jackson secure a commitment for a total of $537.5 million in financing to enable him pay off a $272.5 million debt to Bank of America and to possibly exercise his 'Put Option' to purchase the 50 percent interest in Sony/ATV Music Publishing he does not currently own. Prescient secured funding from New York-based hedge fund Fortress Investment Group.

Sony/ATV, the world's fourth largest music publisher, is jointly owned by MJ Publishing Trust and Sony Corp (NYSE:SNE - news). Among its valuable catalog of songs are most of the hit songs of the Beatles and songs penned by Jackson himself.

Michael Jackson has been reported to be struggling with debt which saw him seek refinancing to avoid losing publishing rights to his valuable catalog of songs, which also includes songs by Bob Dylan and John Mayer.

A spokesman for Jackson told Reuters the settlement means that both the Beatles and Jackson's song and others in the library are "safe and sound."

Court documents showed a voluntary dismissal of the breach of contract claim.

The terms of the settlement were not disclosed in filings at the U.S. District Court Southern District of New York.

  • Michael Jackson Settles Mega Lawsuit for $5 Million

    Monday, June 18, 2007
    By Roger Friedman

Michael Jackson has settled his $48 million lawsuit brought by Darien Dash, cousin of hip-hop entrepreneur Damon Dash.

According to my sources, Jackson agreed to pay Dash $5 million in a breach of contract case. He has until next fall to make good on the agreement.

Dash, acting as Prescient Capital, had sued Jackson for $48 million based on an agreement signed by an accountant employed by Jackson through his brother Randy.

Prescient's agreement stated that the firm would receive a 9 percent fee for finding Jackson new financing on his massive loans from Bank of America. Prescient secured $537 million, hence the $48 million fee.

Ironically, the settlement is reached on the 65th birthday of Paul McCartney. Most of Jackson's income now comes from his ownership of McCartney's Beatle songs with John Lennon.

But Jackson has $325 million in loans against his portion of Sony ATV Music Publishing. And come next May 2008, per an agreement obtained exclusively by this column and reported on last March, Jackson will have to sell that stake to Sony. Money derived from the sale will supposedly go to paying off the loans.

    More on Tuesday ...

:top

Roger Friedman - take a piece of advice and go take a flying f*ck to a rolling donut, there's a good boy!

    More Lawsuits:

    - Hospital (Maria Elena Ortiz case)
    - Brent (June 26th)
    - Dieter Wiesner (August)
    - Kapon (October)
    - Lola-case : "real" mother of Michaels kids.
    - Case against Universal Express

    Zitat

Don't forget about dear Lola, the "real" mother of Michael's kids. They keep giving her more chances to prove her case. It would seem that the doctors who delivered Prince and Paris from Debbie could stop this nonsense with a single statement.

-> Apart from the Dieter and Brent cases, are there anymore lawsuits pending???

    Source: TSCM, MJJF

  • Michael Jackson settles $48M lawsuit

By LARRY NEUMEISTER, Associated Press Writer

NEW YORK - Lawyers for Michael Jackson have settled a lawsuit brought by a finance company that claimed the pop star cheated it out of $48 million.

The lawsuit by Prescient Acquisition, of Hackensack, N.J., was settled Monday just as jury selection was to begin in U.S. District Court in Manhattan. Terms of the settlement were not released.

Steven Altman, a lawyer for Prescient owner Darien Dash, said the businessman was owed the money for helping Jackson refinance a $272 million bank loan and secure $573 million in financing to buy Sony's half of the Beatles' song catalog that Sony co-owned with Jackson.

"We're very pleased with the settlement, although the terms of it we've agreed to keep confidential at Mr. Jackson's request," Altman said.

Jackson, 48, had said he never heard of Dash.

"The most important thing is that Michael Jackson's publishing catalog remains safe and sound," said Jackson's lawyer, L. Londell McMillan, whose clients have included Prince and Stevie Wonder.

The settlement, McMillan added, "presents a win-win for everybody."

The lawsuit was one of a number of recent suits involving Jackson and former business associates.

Last year, a jury in California awarded a former Jackson adviser $900,000 for work he did on videos intended to rehabilitate the pop star's image. The jury awarded Jackson $200,000 in a cross-complaint.

In a deposition taken for the New York case in Paris last summer, Jackson said that the entertainment industry was "full of sharks, charlatans and impostors."

The entertainment world, he said, is "full of thieves and crooks. That's not new. Everybody knows that."

    - Hospital (Maria Elena Ortiz case)

    - Dieter Wiesner (August)

    - Kapon (October)

Mhm, sagt mir auch nix mehr...

    - Lola-case : "real" mother of Michaels kids.

Wird es auch nicht vor Gericht schaffen.

    - Case against Universal Express

    Auch kein Album-Hindernis.

  • 'King of Pop' Settles Suit With Firm

    Tuesday, June 19, 2007

    By DOUGLASS CROUSE
    STAFF WRITER

Lawyers for Michael Jackson settled a lawsuit Monday brought by a Hackensack-based finance company that claimed the artist's music-publishing trust cheated it out of $28.8 million.

The lawsuit by Prescient Acquisition Group Inc. was settled just as jury selection was about to begin in U.S. District Court in Manhattan. Terms of the settlement were "kept confidential at Mr. Jackson's request," said Steven Altman, a lawyer for Prescient owner Darien Dash.

Dash claimed he was owed the money for helping Jackson refinance a $272 million bank loan and securing $320 million in financing. The pop singer intended to use the money to buy Sony Corp.'s half of the Beatles' song catalog that he co-owned with Sony, according to the lawsuit.

Prescient, which also does business as Prescient Capital Corp., said Jackson and his MJ Publishing Trust made a deal that promised the firm fees worth 9 percent of any completed financing. While the lawsuit originally claimed Prescient was owed $48 million, Altman said that figure was based on the original contract's larger financing target of $573 million.

"This was a simple, straightforward contract claim," Altman said after the settlement. "[Jackson] stiffed us on the fee."

Jackson had claimed he never heard of Dash, a cousin of hip-hop impresario Damon Dash, and did not remember signing an agreement.

Altman said he planned to call Don Stabler, a representative of MJ Publishing Trust, as his first witness. Though it was Stabler who signed the contract with Prescient in November 2004, Jackson himself later signed term sheets and commitment letters, Altman said.

Lawyers for Jackson argued that Stabler had no authority to enter into the agreement and that Prescient failed to complete its contracted work.

"We claim that Prescient's efforts never materialized," said attorney L. Londell McMillan, adding that Jackson settled to avoid the financial costs of a trial.

Dash could not be reached for comment, but Altman said he was "very pleased" with the terms of the agreement.

Jackson acquired the Beatles song catalog in 1985 for $47.5 million, outbidding ex-Beatle Paul McCartney. Jackson then sold a part of his stake to Sony.

  • Michael Jackson 'grateful' lawsuit settled on verge of NYC trial

    Larry Neumeister, Canadian Press
    Published: Tuesday, June 19, 2007

NEW YORK (AP) - Michael Jackson is grateful his lawyers settled a lawsuit brought by a finance company that claimed the "Beat It" singer cheated it out of US$48 million.

The lawsuit by Prescient Acquisition, of Hackensack, New Jersey, was settled Monday, just as jury selection was to begin in U.S. District Court in Manhattan. Terms of the settlement were not released. Jackson lawyer L. Londell McMillan said he delivered news of the settlement to the King of Pop, who told him, "I'm very grateful that this is behind me."

"The most important thing is that Michael Jackson's publishing catalogue remains safe and sound," said McMillan, an entertainment law star whose clients have included Prince and Stevie Wonder.

A lawyer for Prescient owner Darien Dash said the businessman was owed the money for helping Jackson refinance a $272 million bank loan and secure $573 million in financing to buy Sony's half of the Beatles' song catalogue that Sony co-owned with Jackson.

Jackson had said he never heard of Dash.

After the settlement, Dash's lawyer, Steven Altman, said: "We brought the lawsuit to collect money for services Mr. Dash provided to Mr. Jackson. We're very pleased with the settlement, although the terms of it we've agreed to keep confidential at Mr. Jackson's request."

McMillan said Jackson was dismissed as a defendant earlier in the year but the trust to one of his publishing catalogues remained a defendant.

He said a man who worked for Jackson when he was on trial in California signed an agreement, even though he did not have authority to do so from Jackson.

The lawyer said the settlement "presents a win-win for everybody."

Now, the lawyer said, with the litigation behind Jackson, "the world is awaiting his next creative move."

"Because there's a lot of money involved, there's a bunch of schmucks in there," Jackson said. "It's the entertainment world, full of thieves and crooks. That's not new. Everybody knows that."
